No Guarantee of Results

However, GWayBiz does not guarantee any specific outcome, approval, registration, licence, bank account opening, payment institution onboarding, tax registration, VAT registration, residence permit approval, immigration decision, regulatory approval, government decision, or acceptance by any third-party institution.

Any decision made by a registry, bank, payment institution, authority, regulator, notary, embassy, migration authority, tax authority, licensing body, payment processor, software provider, or other third party is outside the control of GWayBiz. Such parties may apply their own internal policies, compliance checks, risk assessments, due diligence procedures, timelines, requirements, and discretionary decision-making processes.

Any timeline provided by GWayBiz is an estimate only. Actual timelines may depend on the jurisdiction, complexity of the case, completeness of documents, responsiveness of the client, workload of authorities, availability of notaries or local partners, banking checks, regulatory review, translation or legalisation requirements, and other circumstances outside the control of GWayBiz.

Client Responsibilities

The client is responsible for providing accurate, complete, current, and lawful information required for the requested service. The client must promptly inform GWayBiz of any changes to information, documents, business activity, ownership structure, personal circumstances, target jurisdiction, regulatory status, or other facts that may affect the service.

The client is responsible for ensuring that any documents provided to GWayBiz are authentic, valid, complete, and lawfully obtained. If the client provides information or documents relating to another person, including a shareholder, director, beneficial owner, family member, employee, representative, partner, or third party, the client confirms that such information has been provided lawfully and that the relevant person has been informed where required by applicable law.

The client must cooperate with GWayBiz, local partners, and third-party service providers in a timely manner, including by providing requested information, signing required documents, completing due diligence forms, attending calls or appointments where necessary, and responding to reasonable requests.

GWayBiz shall not be responsible for delays, refusals, additional costs, unsuccessful outcomes, or inability to provide services where such circumstances result from incomplete, inaccurate, misleading, delayed, or unlawful information provided by the client.

Fees, Payment, and Third-Party Costs

Fees for services may be indicated on the website, in a proposal, invoice, written communication, or separate agreement. Unless expressly stated otherwise, published prices are indicative and may vary depending on the jurisdiction, complexity of the request, number of shareholders or directors, type of activity, urgency, need for legal review, translation or legalisation requirements, third-party costs, and additional services requested by the client.

GWayBiz may require full or partial advance payment before starting work. Unless otherwise agreed in writing, services may not commence until the required payment has been received in full.

Government fees, registry fees, notary fees, translation fees, apostille or legalisation costs, courier costs, accounting fees, registered office fees, local agent fees, tax adviser fees, banking support fees, licence application fees, regulator fees, third-party professional fees, and other external costs may be charged separately unless expressly included in the agreed service fee.

The client is responsible for reviewing the invoice, payment details, service description, and applicable costs before making payment. Any bank charges, currency exchange costs, transfer fees, or payment processing fees shall be borne by the client unless otherwise agreed in writing.

Refunds and Cancellation

Unless otherwise expressly agreed in writing, service fees paid to GWayBiz are generally non-refundable once work has commenced, documents have been reviewed or prepared, third-party providers have been engaged, consultations have been provided, or coordination steps have been initiated.

Refunds shall not be due where a service is delayed, suspended, refused, rejected, or cannot be completed due to circumstances outside the control of GWayBiz, including but not limited to decisions of authorities, banks, payment institutions, registries, notaries, regulators, embassies, migration authorities, third-party providers, changes in law, incomplete documents, unsuccessful due diligence, or failure of the client to provide requested information.

Where a refund is considered appropriate at the discretion of GWayBiz or required by applicable law, any work already performed, time spent, administrative costs, third-party costs, bank fees, payment processing fees, and non-recoverable expenses may be deducted from the refundable amount.

If the client cancels the service after work has commenced, GWayBiz may retain the amount corresponding to the work performed, resources allocated, and costs incurred up to the date of cancellation.
